CUSTOMER E-BILLS SUBSCRIPTION APPLICATION
Terms and Conditions
These terms and conditions govern the legal relationship between Enugu Electricity Distribution Plc (EEDC) and its Customers (“Subscribers”) and incorporate the provisions of the EEDC Privacy Policy.
Please read these terms and conditions carefully.
RECITAL
A. EEDC has developed and owns a proprietary online solution to improve the efficiency of electricity bill distribution called Customer E-Bills Subscription Application™ (“CESA”), that allows Customers (also referred to as “Subscribers” or “You”) to register their e-mail addresses and phone numbers to enable them receive their bills through e-mails and SMS.
B. EEDC’s proprietary application is published on EEDC’s website; www.enugudisco.com.
C. Subscriber desires to subscribe to CESA directly from www.enugudisco.com, to be able to access and use CESA and related services and EEDC desires to allow the same, each in accordance with the terms and conditions of this Agreement.
Now, therefore, in consideration of the mutual promises and obligations set forth below, the receipt and sufficiency of which each Party hereby acknowledges, each Party agrees as follows.
INTRODUCTION
This Agreement governs the legal relationship between EEDC and the Subscribers in respect of access and use of EEDC services.
PLEASE TAKE NOTE THAT THESE TERMS AND CONDITIONS CONTAIN PROVISIONS THAT DISCLAIM, LIMIT AND EXCLUDE THE LIABILITY OFEEDC TO YOU AND THAT INDEMNIFY EEDC AGAINST CLAIMS AND DAMAGES THAT IT MAY SUFFER AS A RESULT OF YOUR CONDUCT.
BY CLICKING A BOX INDICATING YOUR ACCEPTANCE OF THIS AGREEMENT, YOU AGREE TO ALL TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS AND CONDITIONS AND THAT YOU DO HEREBY BIND SUCH ENTITY TO THESE TERMS AND CONDITIONS. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT ACCESS OR USE THE SERVICE.
1. INTERPRETATION
1.1 The words and phrases listed below shall bear the following meanings in these terms and conditions, unless the context clearly indicates otherwise:
“Agreement” means this CESA Agreement.
“App” means Customer E-Bills Subscription Application (CESA) and its related services. App shall include any future, updated or otherwise modified version(s) thereof made available by EEDC (in its sole discretion) to Subscriber.
“EEDC” or “we” or “us” or “our” means EEDC, a company registered under the Laws of the Federal Republic of Nigeria, or its designated Affiliate(s).
“Effective Date” means the date that the subscription for CESA is completed and EEDC acknowledges same.
“Message” means the Electronic Bills (E-Bills).
“Service” means and includes all products and services offered or provided to Subscribers by EEDC (including the solution and application referred to herein) as we may modify from time to time at our discretion.
“SMS” means a short message service provided by means of a text or data message to the cellular handset or any such device or phone number of a Subscriber.
“Subscriber“ or “You“ or “Your“ means EEDC’s customer, the person indicating acceptance of this Agreement, or if the person indicating acceptance of this Agreement is acting on behalf of a company or other legal entity, such company or legal entity. .
“Website” means the EEDC’s website at www.enugudisco.com
1.2 Any reference in these standard terms to the singular includes the plural and vice versa, any reference to persons includes both natural and juristic persons and any reference to a gender includes the other gender.
1.3 Any clause headings inserted into these terms and conditions have been inserted for convenience only and shall not be taken into account in interpreting the terms and conditions.
1.4 Words and expressions defined in any other part of these terms and conditions shall, for the purposes of that part, bear the meaning assigned to such words and expressions in that part.
1.5 To the extent that any provision of this Agreement conflicts with any law, then to the limited extent of such conflict, such provision shall be severed from this Agreement without affecting the enforceability of the remainder of its terms.
